The MSA gives a customer an exit right, the order form says the commitment is non-cancellable, and an online policy permits unilateral changes. Each document was approved by a different team. The resulting agreement needs to be read as a whole.

A contract review should test how the complete document set behaves when an operational event occurs. A favourable clause can be displaced by a conflicting order form, a narrow definition or an exclusion elsewhere. Establish the applicable law, execution requirements and transaction structure before using a precedent.

What needs examining

01. Establish incorporation and version

List signed documents, referenced schedules, online terms and amendments. Preserve the version available at acceptance. Determine whether a proposal is binding, explanatory or expressly excluded. Avoid assuming that a document becomes part of the contract simply because it was exchanged during negotiation. Clear incorporation makes the hierarchy usable.

02. Use specific priority where subjects differ

A single global ranking may work poorly where the data-processing schedule should govern privacy, the order form should govern quantities and the MSA should govern liability. Define subject-specific priority and the conditions for a deliberate override. Requiring an override to identify the affected provision can reduce unintended displacement.

03. Treat online updates as changes to the bargain

Check whether the supplier may change policies, what notice is required and whether the customer can reject a material change. A static PDF review can miss a dynamic online document. Establish a record of relevant versions and route material updates to the owner responsible for contractual assessment.

Law, contract and recommended practice

The Indian Contract Act, 1872 supplies the general framework. Enforceability also depends on the transaction, applicable special legislation, stamping and registration requirements, and judicial interpretation. A commercially negotiated protection is not necessarily a statutory entitlement.

Common questions

Does the newest document always prevail?

No. Check its contractual status, authority, amendment requirements and the agreement's interpretation. A later operational document may not validly amend the earlier bargain.

Should a DPA always override the whole MSA?

Not automatically. Define the subjects on which the data-processing terms prevail and preserve coherent treatment of liability, remedies and security. Broad priority language can create unintended results.
