A SaaS exit review should connect termination rights to data export, format, timing, transition support, access continuity and charges. Define who verifies the returned data before deletion. The commercial value of an exit right depends on whether the customer can move the workflow and records in practice.
The business situation
A company terminates a subscription after repeated outages. The provider offers a database export, but attachments, audit history and workflow settings are excluded. The customer has a right to leave without a usable route to continue the business.
A contract review should test how the complete document set behaves when an operational event occurs. A favourable clause can be displaced by a conflicting order form, a narrow definition or an exclusion elsewhere. Establish the applicable law, execution requirements and transaction structure before using a precedent.
What needs examining
01. Specify the asset the business needs back
Data portability should cover the information and context required for continued use: relationships, attachments, timestamps, permissions and agreed configuration. Define format and documentation, not just an obligation to provide data. Where proprietary supplier components cannot transfer, identify the alternative in advance. A test export before renewal can expose problems that a legal definition misses.
02. Connect transition assistance to the termination mechanism
Check whether assistance is available after termination for breach, at expiry and during disputed payment. State the duration, fees, personnel, service levels and dependencies. Deal with partial termination where the customer retains some services. A right subject to the supplier's later agreement may provide little protection when cooperation is most needed.
03. Close the data and access position
Agree return acceptance, deletion sequencing and treatment of backups or legally retained records. Keep access available long enough for migration while applying suitable security restrictions. Review any lien, suspension right or outstanding-payment condition against the criticality of the records and the governing law. The exit procedure should be executable by named operational owners.
Law, contract and recommended practice
The Indian Contract Act, 1872 supplies the general framework. Enforceability also depends on the transaction, applicable special legislation, stamping and registration requirements, and judicial interpretation. A commercially negotiated protection is not necessarily a statutory entitlement.

Common questions
Is a CSV export always enough?
No. It may omit relationships, attachments or metadata needed to use the records. Define the required export by the receiving workflow and validate a representative sample.
Should exit assistance be agreed only after termination?
That leaves scope, pricing and access unresolved at a difficult point in the relationship. Agree the key commitments during negotiation and update the practical plan as the service changes.
Ask the operational team to describe its first week after the service ends. The contract should provide a workable answer for each essential dependency.
