Yes, in most sectors under the automatic FDI route. Defence, telecom, insurance, pharmaceuticals and certain other sectors have caps or conditions. The entity choice (private limited company, LLP or branch) depends on the business model, repatriation plan, liability structure and regulatory requirements.
The CEPA provides preferential tariff concessions across scheduled tariff lines. The importer must present a Certificate of Origin issued by the designated authority in Japan, meet the applicable rules of origin (value addition, change in tariff classification or specific process rule) and comply with the customs procedure. Not all products qualify and some have tariff rate quotas.
Common issues include secondment versus local employment structuring, social security agreement application, standing orders for factory workers, contractor and manpower supply compliance, POSH policy implementation, union relations in states with significant organised labour, and the transition to new labour codes (Central Rules notified, state rules varying).
Under the India Japan DTAA, royalties and fees for technical services are capped at 10% withholding. The Indian subsidiary must obtain a Tax Residency Certificate from the Japanese parent, confirm treaty eligibility, comply with transfer pricing documentation requirements and issue a withholding tax certificate (Form 15CA/15CB) before remittance.
