The business situation
A foreign parent licences software to its Indian subsidiary and charges a combined royalty and support fee. The agreement does not separate usage rights, updates or technical services. The bank and tax teams need a clearer description than the commercial invoice provides.
India market entry is a sequence of decisions about activities, entity, ownership, people, money and regulatory permissions. Incorporation is one step in that sequence. Foreign-investment treatment depends on the actual activity and ownership structure, not merely the company's chosen description.
What needs examining
01. Specify the rights the Indian business needs
Define territory, users, sublicensing, modification, integration and distribution rights. Check whether the licensor owns or can grant those rights, including third-party components. Consider the effect of local customisation and jointly developed improvements. The permitted-use language should match the planned India business model.
02. Analyse the payment on substance
Identify what each payment remunerates and how it is calculated. Obtain the relevant withholding, treaty, GST, transfer-pricing and FEMA assessment for the arrangement. Check current requirements and the documentation needed by the authorised dealer bank. Avoid presenting a single historical policy rule as a complete answer for every royalty payment.
03. Plan for continuity and change
Address updates, support, audit rights, usage measurement and the effect of termination. Consider whether the subsidiary can continue servicing customers if group arrangements change. Align the licence with customer commitments and any relevant sector conditions. A payment dispute should not leave ownership, access and business continuity undefined.
