01. Define the activity and the contracting party

Distinguish market research, demonstrations, paid services, local sales and regulated activities. Confirm the existing entity that can legally enter each arrangement. Do not assume a company that has not yet been incorporated can perform ordinary contracting acts in the same way as an existing entity. Review how any pre-incorporation arrangements will be addressed.

02. Examine the operational footprint

Identify personnel, authority, office or premises, payment flows and customer-facing commitments. Assess employment, permanent-establishment and other tax questions on the actual facts, with appropriate tax input. A short duration does not settle every issue. If a third-party employer or service provider is used, examine the genuine allocation of control and responsibility.

03. Plan the move to the intended operating model

Identify agreements that need novation, new notices, employee arrangements, registrations and funding steps once the subsidiary is ready. Record what can continue and what must change. Avoid creating a pilot architecture that depends on permissions the business has not obtained or on data uses it cannot explain to customers.
