SaaS Downtime SLA Breach India
Remedies for SaaS downtime and SLA breach — service credits, termination rights and consequential damages
AMLEGALS advises on saas downtime sla breach india — remedies for saas downtime and sla breach — service credits, termination rights and consequential damages.
The issues that decide the outcome
SaaS disputes arise from the inherent tension between continuous service delivery and contractual expectations — uptime failures, data loss, vendor lock-in, unilateral feature deprecation, billing disputes and IP infringement claims. Indian courts and tribunals apply the Indian Contract Act 1872 (breach, specific performance, damages), the Consumer Protection Act 2019 (unfair trade practices, deficiency of service), the Arbitration and Conciliation Act 1996 (domestic and international commercial arbitration) and the IT Act 2000 (intermediary liability, data protection) depending on the nature of the dispute and the parties involved.
SaaS disputes present unique evidentiary challenges. Service logs, audit trails, automated alerts and system metrics are critical evidence, but their admissibility under the Indian Evidence Act 1872 (now BSA 2023) requires compliance with Section 63 (formerly Section 65B) certification for electronic records. Contractual limitation periods, notice requirements and escalation procedures must be followed precisely. For cross-border SaaS disputes, the choice of seat, governing law and enforcement of foreign awards under the New York Convention (Part II of the Arbitration Act) are critical structuring decisions.

Frequently asked questions
01Which forum hears SaaS disputes in India?
It depends on the dispute and the parties. Business-to-business SaaS disputes are typically resolved through arbitration (if the contract contains an arbitration clause) or through Commercial Courts (for disputes valued above Rs 3 lakh). Consumer complaints go to Consumer Dispute Redressal Commissions. IP disputes are heard by the relevant High Court (original or appellate side). Competition complaints go to the CCI. Cross-border disputes are governed by the seat of arbitration and the applicable institutional rules.
02Can a SaaS vendor unilaterally change features?
Unilateral feature changes may constitute breach if the subscription agreement defines the service scope with specificity. If the agreement reserves the right to modify features, the modification must still be reasonable and not deprive the subscriber of the core service they contracted for. The Consumer Protection Act 2019 may apply if the subscriber is a consumer and the change constitutes an unfair contract term under Section 2(46).
03How are SaaS service credits enforced?
Service credits are liquidated damages provisions. Under Sections 73 and 74 of the Indian Contract Act 1872, liquidated damages are enforceable if they represent a genuine pre-estimate of loss. Courts will not enforce penalty clauses. If the SLA defines service credits as the sole and exclusive remedy for downtime, the subscriber cannot claim additional damages unless the limitation clause is found unconscionable or the breach involves fraud or wilful misconduct.
04Is electronic evidence from SaaS logs admissible?
Electronic records including SaaS server logs, audit trails and system metrics are admissible under the BSA 2023 (formerly Indian Evidence Act 1872) if accompanied by a Section 63 certificate (formerly Section 65B) from a person with control or knowledge of the computer system. The certificate must identify the device, describe the nature of the record and confirm that the system was operating properly during the relevant period.
05Does an initial discussion create a lawyer-client relationship?
No. No engagement is treated as accepted until conflicts, scope and terms are confirmed in writing. An initial discussion is confidential and is used only to understand the matter and assess fit.
