France–India M&A and Joint Venture Legal

Transaction and JV legal for French investors in Indian targets.

Strategic context

Why the structure must be correct from the first filing

A French acquisition of, or joint venture with, an Indian company turns on a few decisive legal questions: the deal structure (share purchase, asset purchase, merger or subscription), the FDI route and pricing under FEMA, competition clearance from the Competition Commission of India where thresholds are met, and the tax on the transaction. AMLEGALS runs the transaction end to end so the French acquirer’s commercial bargain survives legal and regulatory execution.

Due diligence sets the risk picture; the share-purchase and shareholders’ agreements allocate it. We draft and negotiate representations, warranties, indemnities, conditions precedent, pricing adjustments and earn-outs, and align them with FEMA pricing rules, the Companies Act 2013 and, where relevant, the Insolvency and Bankruptcy Code. For joint ventures we build governance, reserved matters, deadlock and exit mechanics that hold up over the life of the venture.

Answers

Frequently asked questions

01How does a French company acquire an Indian company?

A French acquirer can buy shares from existing shareholders, subscribe to new shares, acquire the business and assets, or merge with the target. Share acquisition is most common. The structure is chosen for tax, FEMA pricing, liability assumption and integration, and must comply with the sectoral FDI position and, where thresholds are met, competition clearance.

02Does a cross-border acquisition in India need CCI approval?

If the transaction crosses the asset or turnover thresholds under the Competition Act 2002 — and is not covered by an available exemption such as the de minimis target exemption — it must be notified to the Competition Commission of India and cannot close until approved. AMLEGALS assesses notifiability early so timing is built into the deal.

03What are the main FEMA issues in a French acquisition?

The consideration for shares acquired by a non-resident from a resident (or vice versa) must comply with the FEMA pricing guidelines — broadly, a non-resident buying may not pay below fair value and selling may not receive above fair value — and the transfer must be reported in Form FC-TRS. Deferred consideration and earn-outs are permitted within prescribed limits and conditions.

04How is capital gains tax handled on exit?

Gains on the sale of Indian shares are taxable in India, with the rate depending on the holding period and instrument, subject to relief under the India–France DTAA where available. Indirect transfers of Indian assets can also be taxable. AMLEGALS structures the entry and the holding so the eventual exit is as efficient and certain as the law allows.

05Does an initial discussion create a lawyer-client relationship?

No. No engagement is treated as accepted until conflicts, scope and terms are confirmed in writing. An initial discussion is confidential and is used only to understand the matter and assess fit.
